1. Acceptance of Terms

By using the Services, you agree to be bound by this Agreement, our Privacy Policy, Child Safety Policy, and all supplementary terms. We may modify this Agreement at any time. Your continued use of the Services after modifications are made shall constitute your acceptance of the revised Agreement.

2. Age Requirement

You must be at least 18 years of age to use Layaa. If local laws mandate a higher minimum age, such a higher age shall apply. Users under the minimum age may only access Layaa with the verified written consent of a parent or legal guardian and under their strict supervision.

3. Account Responsibility

You are solely responsible for safeguarding your account credentials (including your password). All activities conducted under your account shall be deemed your actions.

1. Modification of Services

We reserve the right to modify, suspend, or discontinue the Services (in whole or in part) at any time without liability to you.

2. Paid Services

Certain features of the Services require payment. All charges will be disclosed to you in advance. Refusal to pay the required fees will result in restricted access to paid features.

3. Maintenance of Services

We may interrupt the Services for maintenance purposes. Where feasible, we will provide advance notice of such interruptions; however, we shall not be liable for any disruptions caused by maintenance.

4. Termination of Services

We may suspend or terminate your access to the Services if you:

• 4.1 Violate any provisions of this Agreement;
• 4.2 Are under the minimum age required to use the Services;
• 4.3 Fail to pay for paid services;
• 4.4 Use AI features to generate illegal, infringing, or harmful content.

1. Purchases

You may purchase virtual currency ("Diamonds") and virtual gifts ("Gifts") through the App. Coins are non-refundable and cannot be exchanged for real currency or cash.

2. Payments

All transactions for virtual items are final. Currency conversion fees (if applicable) will be determined by your payment provider.

3. Usage Restrictions

Coins and Gifts are for in-App use only. Unauthorized resale, transfer, or exchange of virtual items is strictly prohibited.

1. Registration

You must provide accurate and truthful information during registration. Third-party login (e.g., via Google, Facebook) is permitted, but your use of such third-party accounts shall be subject to the terms and policies of the respective third-party platforms.

2. Account Termination

You may delete your account via "Settings > Account Management." Account deletion is irreversible. We reserve the right to disable or terminate accounts that violate this Agreement.

1. Platform Content

All content on the App (including text, graphics, code, and software) is owned by Layaa or its licensors. No unauthorized use, reproduction, or distribution of such content is permitted.

2. License for User-Generated Content

By uploading UGC to the App, you grant Layaa a non-exclusive, worldwide, royalty-free license to use, modify, and distribute such content for the purpose of providing and improving the Services.

3. AI-Generated Content (AIGC)

• 3.1 You retain ownership of the input prompts and other UGC you provide; however, you grant Layaa a perpetual, irrevocable license to use such content to optimize AI models and enhance the Services;
• 3.2 AIGC (e.g., chat responses, test reports) is generated by Layaa, and Layaa retains all intellectual property rights to such content. You may use AIGC within the App for personal, non-commercial purposes;
• 3.3 You may not use AIGC for commercial purposes or resell it unless you have obtained written authorization from Layaa.

1. As-Is Provision

The Services are provided "as is" and "as available." We disclaim all warranties, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

2. Third-Party Links

The App may contain links to third-party websites or content. We are not responsible for the accuracy, legality, or safety of such third-party links or content. Your use of third-party services is at your own risk.

3. Force Majeure

We shall not be liable for any interruption or failure of the Services caused by events beyond our reasonable control (e.g., natural disasters, cyberattacks, or regulatory actions).

4. Liability for AIGC

• 4.1 AIGC is for reference only and does not constitute professional advice or factual statements. You shall independently assess the accuracy and applicability of AIGC;
• 4.2 If AIGC contains errors, omissions, or infringes on third-party rights, you agree to bear all consequences. Layaa shall not be liable for any damages arising from your use of AIGC;
• 4.3 You shall not rely on AIGC to make important decisions related to medical care, legal matters, or financial investments. Layaa shall not be liable for any losses resulting from such reliance.

1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Singapore, excluding its conflict of laws principles.

2. Arbitration

Any dispute arising out of or in connection with this Agreement shall be resolved through arbitration in Singapore in accordance with the rules of the Singapore International Arbitration Centre (SIAC). The arbitration award shall be final and binding on both parties.

1. Entire Agreement

This Agreement supersedes all prior agreements, understandings, or arrangements (written or oral) between you and Layaa regarding the Services. If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

2. Headings

Section headings are for convenience only and shall not affect the interpretation of this Agreement.

3. Acknowledgment

By using Layaa, you acknowledge that you have read, understood, and agreed to all terms of this Agreement.
